Terms of Service

Welcome to Groomly (“Groomly,” “we,” “our,” or “us”). These Terms govern your access to and use of our software at getgroomly.com and any related services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service. We've tried to keep this readable; defined terms are capitalized.
1. The service
Groomlyis a software-as-a-service platform that helps pet grooming businesses manage scheduling, customer and pet records, day rules, and other operational tasks. We may add, remove, or change features over time; we'll give reasonable notice for material changes that meaningfully reduce your usage.
2. Your account
- You must be at least 18 years old and able to enter binding contracts.
- Provide accurate information when you sign up and keep it current.
- You're responsible for everything done under your account, including by employees you give access to. Keep your password safe.
- Notify us at support@getgroomly.com immediately if you suspect unauthorized access.
- One business per account. Multiple separate businesses need separate accounts.
3. Trial & billing
- Every new account starts with a 14-day free trial. No card is required to start.
- After the trial, you may subscribe at the then-current price (currently US $39/month). You will only be charged after you provide payment details.
- Subscriptions auto-renew monthly until canceled. You can cancel any time from your Billing page or by emailing support@getgroomly.com; access continues through the end of the paid period.
- Payment is processed by Lemon Squeezy, acting as our Merchant of Record. By providing payment information you authorize Lemon Squeezy to charge the applicable amounts on our behalf.
- No partial refunds for unused subscription time. We'll consider exceptions case-by-case if something genuinely goes wrong on our side.
- We may change pricing for new customers at any time. Your subscription price will not change for the lifetime of your continuous subscription (we'll grandfather you in).
- Taxes (sales tax, VAT, GST, etc.) where applicable are collected and remitted by Lemon Squeezy as your Merchant of Record and shown on your invoice.
4. Your data & ownership
- You retain all rights to the business data you put into the Service (customer records, pet profiles, appointments, notes, etc.). You own it; we store it.
- You grant Groomly a limited license to host, process, and display your data solely to provide the Service to you.
- You can request an export of your data, or delete your account, at any time. After deletion we retain backups for up to 30 days then permanently remove them, except where law requires longer retention.

5. Intellectual property
The Service, its source code, design, branding, and the Groomly name and logo are owned by us and protected by intellectual property laws. These Terms grant you a non-exclusive, non-transferable, revocable license to use the Service while your account is in good standing. They don't transfer any ownership to you. You agree not to copy, reverse-engineer, resell, or attempt to extract our source code or trade secrets.
6. Acceptable use
Don't use the Service to:
- Break any law or regulation.
- Send unsolicited or spam communications, or harass anyone.
- Upload viruses, malware, or anything intended to harm us, other users, or third parties.
- Attempt to gain unauthorized access to any system, scrape or hammer our APIs, or interfere with the Service's normal operation.
- Resell or sublicense the Service to others, or use it to build a competing product.
- Impersonate anyone, misrepresent your business, or upload misleading information about pets or customers.
We may suspend or terminate your account for material violations.
7. Third-party services
The Service integrates with third parties including Lemon Squeezy (subscription billing, Merchant of Record), Resend (email), Neon (database hosting), and Vercel(application hosting). Their availability, terms, and pricing are outside our control. We're not liable for downtime, errors, or actions taken by these providers, although we'll work in good faith to help if problems arise.
8. Service availability & warranty disclaimer
We try hard to keep the Service running smoothly but provide it “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure against all attacks, or that data will never be lost. You're responsible for keeping backups of any data you can't afford to lose.
9. Limitation of liability
To the maximum extent allowed by law, Groomly (including its founders, contractors, and affiliates) is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from your use of (or inability to use) the Service.
Our aggregate liability for any claims related to the Service is capped at the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) US $100. Some jurisdictions don't allow these limits, in which case they apply to the maximum extent permitted.
10. Indemnification
You agree to defend, indemnify, and hold Groomlyharmless from third-party claims, damages, losses, and reasonable legal fees that arise from your misuse of the Service, your breach of these Terms, your violation of law, or content you upload (including customer records you weren't authorized to store, or intellectual-property infringement).
11. Termination
You can terminate your account anytime from your Billing page or by emailing us. We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a way that risks our compliance with law or our providers' rules. On termination, your license to the Service ends and we'll give you a reasonable opportunity to export your data before final deletion.
12. Governing law & disputes
These Terms are governed by the laws of the jurisdiction where Groomlyis established, without regard to conflict-of-law rules. Any dispute arising from these Terms or your use of the Service will first be addressed by good-faith negotiation between us; if unresolved, it'll be settled in the competent courts of that jurisdiction, unless local law guarantees you the right to sue elsewhere (e.g., consumer-protection rules in your country of residence).
13. Force majeure
Neither party is liable for failure to perform due to events outside reasonable control, including natural disasters, war, government action, network failures, or actions of our infrastructure providers.
14. Changes to these Terms
We may update these Terms from time to time. For material changes we'll notify you by email at least 14 days before the new Terms take effect. Continued use of the Service after the effective date counts as acceptance. If you don't agree to a material change, stop using the Service and cancel your subscription before the effective date.
15. Assignment
You can't transfer your rights or obligations under these Terms without our written consent. We may assign or transfer this agreement (for example, in connection with a merger, acquisition, or sale of assets) by providing notice to you.
16. Severability & entire agreement
If any provision of these Terms is found unenforceable, the rest stays in effect. These Terms together with our Privacy Policy constitute the entire agreement between you and Groomly regarding the Service and supersede any prior agreements or representations.
